  • Overview

    The Corporate Legal Counsel will be a key member of the legal, finance, corporate development, human resources and marketing teams and the successful candidate will be responsible for hands-on, practical advice to such teams and the corporate organization. The ideal candidate will have at least seven years of hands-on public company experience and will be well organized, responsible, detail-oriented, resourceful and be used to working independently and as a team member. The position will report to the Vice President, Corporate Legal.



    • Help structure, draft and negotiate complex transaction documents and participate in global cross-functional teams to execute transactions.
    • Manage internal and external deal processes and drive continuous improvement and scalability in deal process and execution.
    • Work on deal teams with other in-house attorneys and constituents and outside advisors on complex transactions
    • Work as a team member evaluating, advising on and handling corporate securities and SEC reporting and compliance matters (including annual reports, proxy statements and other current and periodic reports); treasury activities (including corporate finance transactions); and corporate governance matters (including Board and Board Committees support and subsidiary governance/maintenance).
    • Work collaboratively with Corporate Development, Finance, Human Resources and Marketing functions.





    • JD and undergraduate degrees with excellent academic credentials.
    • 7+ years of experience in a law firm and corporate in-house environment with a sophisticated corporate, M&A, securities, finance and corporate governance background.
    • Substantial experience in M&A transactions (domestic and cross-border), with a strong understanding of M&A structures, documents, and related issues.
    • Strong experience in securities law and SEC reporting, equity compensation, equity investments, corporate finance, and corporate governance matters.
    • Excellent interpersonal, written and oral communications skills.
    • Well organized and hardworking, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure.
    • A high-level of intellectual curiosity and professionalism combined with strong analytical and problem-solving skills.
    • Ability to work collaboratively and effectively with business clients and other legal department members.
    • Team oriented, with a sense of humor, unquestioned ethics and integrity, sound judgment and flexibility.
    • Familiarity with change management philosophy and a belief that there is always room for self and corporate improvement.
