    Rambus is searching for a Senior Corporate Counsel to focus primarily on providing legal support to the Rambus Security Division. As the primary legal resource for the Rambus Security Division, this role will play a key role in supporting the complex legal needs of a rapidly growing and key component of Rambus’s global business operations.


    Specific duties will include:


    • Management of all technology transfer, development and collaboration agreements, inbound and outbound software and hardware licensing contracts for products and professional services
    • Drafting and negotiating all required and relevant transaction documents
    • Managing the overall transaction process and collaborating with other legal team members and business partners
    • Continuous evaluation and improvement of related business processes and legal templates
    • Providing legal analysis and advice to members of senior management team on contract matters
    • Active participation and management of various compliance programs and initiatives
    • Other general corporate matters and special projects from time to time


    Required Skills and Qualifications:


    • Exceptional academic credentials
    • 10+ years of relevant legal experience at a top-tier law firm and/or as an in-house attorney drafting, reviewing and negotiating a wide variety of intellectual property transactions, including licensing agreements, supply agreements, joint development agreements, consulting agreements, etc.
    • Demonstrated expertise in software licensing
    • Demonstrated expertise in intellectual property law and associated best practices
    • Experience with entity level compliance and related, policies, controls and procedures
    • Prior experience with development, implementation and training of legal and compliance policies and procedures
    • Flexibility and willingness to work on a broad variety of legal issues and learn new subject matter
