Overview

Rambus, a premier chip and silicon IP provider, is seeking to hire a motivated and detail-oriented individual to join our legal team as Corporate Counsel reporting to the Assistant General Counsel, to join Rambus’ Intellectual Property (IP) transactions team at Rambus’ headquarters in San Jose, CA. As a member of our legal department, the candidate will play a role in supporting our business operations through structuring, drafting, and negotiating IP licensing agreements as well as other inbound and outbound transactional agreements.

Responsibilities

  • Draft and review IP license agreements, identifying and mitigating risk, and ensuring compliance with corporate, legal, and business requirements. 
  • Participate in the negotiation process for transactional agreements. 
  • Facilitate cross-functional communication with internal stakeholders to gather necessary information for legal agreements. 
  • Engage in effective communication with leadership regarding legal matters, providing insights and recommendations. 
  • Develop a solid understanding of transactions as a prime and subcontractor to the U.S. Government. 
  • Stay informed about relevant laws, regulations, and industry best practices to ensure compliance with government regulations and to mitigate legal risks. 
  • Collaborate with external legal counsel, when necessary, under the guidance of senior legal professionals. 
  • Provide feedback to improve related business processes and legal templates. 
  • Assist on other general corporate matters and special projects from time to time. 

Qualifications

  • 3-5 years working as Corporate Counsel or commensurate experience
  • Juris Doctor (JD) degree from an accredited law school. 
  • Exceptional academic credentials 
  • Admission to the California State Bar or ability to register as in-house counsel. 
  • 2-3 years of relevant experience in IP transactions with an understanding of IP law and experience in drafting and reviewing IP license agreements. 
  • Negotiation skills with the ability to work collaboratively in a global team environment. 
  • Effective communication skills to interact with internal stakeholders and senior leadership. 
  • Familiarity or willingness to learn about transactions involving the United States Government. 
  • Detail-oriented and able to manage multiple tasks efficiently. 
  • Ability to self-manage their work schedule and meet the business needs for a prompt response time. 
  • Proficient in MS Office suite of applications and basic understanding of contract management systems

Rambus offers a competitive compensation package including base salary, bonus, equity, matching 401(k), employee stock purchase plan, comprehensive medical and dental benefits, time-off program, and gym membership.

 

The US base salary range for this full-time position is $166,300 to $308,800. In addition to the base compensation, there is a 25% target bonus and a generous equity package. Our salary ranges are determined by role, level and location.  The successful candidate’s starting pay will be determined based on job-related skills, experience, qualifications, work location and market conditions.
